1. General
The company for manufacturing, engineering and services Buck d.o.o. (‘Buck’) has established the terms and conditions for the sale and supply of products and / or services (‘the goods’) which Buck sells to customers of the product (‘the buyer’).
The General Terms of Sale form part of each individual contract for the delivery of goods, which is concluded with the customer and which determines all conditions that are not determined by individual contracts.
If the terms of a contract deviate from the terms of the General Conditions of Sale, the terms of the contract shall prevail.
By signing a single purchase contract, the buyer expressly declares that he fully understands and accepts these terms and conditions of sale.
2. Acceptance and Withdrawal of the Order
The contract is considered complete when Buck receives an order confirmation.
In the event of cancellation or other cancellation of the order for any reason, the buyer shall bear all costs and damage incurred to Buck.
3. Price and Payment
The price is quoted in Euro or in local currency excluding taxes, duties and other charges, unless otherwise agreed.
Unless otherwise agreed, the buyer is obliged to pay within 30 days from the invoice date. The payment will be made to Buck’s account and will be deemed to have been completed if Buck has the appropriate amount available.
These prices include Buck`s non-returnable standard packaging. The packaging is a standard commercial packaging that is acceptable to a commercial carrier. Special packaging for the needs of the buyer will be provided only upon written request of the buyer and at his expense.
4. Transportation
The entire transport of the delivered goods takes place at the expense of the buyer. The risk of damage or loss of the delivered goods shall pass to the Buyer at the time and place of delivery, which is also implied if Buck, at Buyer’s request, carries out or supports the transport of the Goods to the Buyer’s designated place at Buyer’s expense.
5. Delivery
Unless otherwise agreed in writing between the parties, all goods will be delivered to Buck’s EXW location in Belgrade or FCA to foreign buyers (Incoterms 2010) at the time Buck notifies the buyer that the goods are ready for takeover.
On-time delivery depends on the timely receipt of all documents to be provided by the buyer or the fulfillment of the buyer’s obligations, which precede the beginning of the delivery, e.g. Advance payment, delivery location agreement, etc. If these conditions are not met, the delivery period will be extended for the period until these conditions are met, unless Buck is responsible for the delay.
The delivery period will be extended by the respective deadline and in all other cases not due to Buck’s fault, such as force majeure, injunction, strikes, failures of the IT system (despite appropriate precautionary measures), protests and blockades, delays in the procurement process and the same.
If the buyer prevents acceptance or take over of the delivery on the delivery day specified in the order confirmation, the buyer is obliged to pay the agreed price as if the delivery were realized. The storage costs will be charged to the customer if he does not take delivery on the specified delivery day. The buyer bears all risks of loss or damage of the goods from the day on which they were delivered at the place of delivery. If no claim is sent within ten (10) business days of the date of delivery, it is assumed that the Buyer accepted the Products without reservation.
6. Termination of the contract
Buck may, with written notice to the Buyer, immediately terminate any obligation or any part of the commitment if the Buyer breaches any provision of the agreed terms (including these terms). All payments by the buyer to Buck are due for payment at the time the contract is terminated.
7. Intellectual property rights
The purchase and delivery of goods do not confer any explicit or implied license under Buck’s patents, copyrights, trademarks, or other proprietary rights, whether they are sold goods, services rendered, or a production process, or other things. All rights to such a patent, copyright, trademark or other proprietary rights are expressly reserved to Buck. The buyer undertakes not to violate these rights, either directly or indirectly.
8. Confidentiality
All information from contracts and the information and documents that Buck exchanges with the buyer are considered trade secrets.
The exception to paragraph 1 of this Article is data that would otherwise normally be available to the public. Data published without the fault of the party that published it and the information published independently of the other party.
The buyer undertakes not to disclose, give or otherwise make available to third parties the unauthorized disclosure of information exchanged between them in connection with the implementation of the provisions of this contract, and shall take all reasonable measures and procedures to prevent third parties to receive this information.
9. Warranty
Buck warrants to the purchaser that products from the Buck production line will be free from defects in materials, workmanship and conditions. If Buck determines that the complaint is covered by this warranty, Buck will, at its sole discretion, remedy any warranty-related deficiencies, either through repair or replacement and within the warranty period of 5 (five) years from Buck’s purchase date.
This warranty applies only to products sold in Europe. Other conditions may apply to other regions.
Buck’s total liability, arising out of or in connection with the goods Buck delivers to the buyer, is limited to the purchase price. In no event shall Buck be liable for any special, incidental, indirect, consequential, punitive or punitive damages, or lost profits, rewards or costs of replacement of equipment.
10. Interpretation
If any provision of the General Terms of Sale is found to be invalid or inapplicable to any extent or for any reason, the remaining provisions shall not be affected and all other provisions shall be valid to the fullest extent permitted by law. The parties agree to replace an invalid and / or non-applicable provision with a valid and / or applicable provision that most closely approximates the intent and economic effect of an invalid and / or unenforceable provision.
11. Competence
The interpretation of the validity of the General Conditions of Sale is governed by and regulated by the laws of Serbia.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) may be applied to contracts with foreign customers, as agreed by contract or by order confirmation.
Unless otherwise agreed, disputes which can not be settled by mutual agreement shall be settled by the Permanent Arbitration Tribunal of the Serbian Chamber of Commerce in Belgrade in accordance with its rules.
